New elections for Supervisory Board of Bastei Lübbe AG at 2016 Annual General Meeting

Cologne, 29 July 2016. Bastei Lübbe AG, which is listed in the Prime Standard of the Frankfurt Stock Exchange (ISIN DE000A1X3YY0), today received written declarations from the Chairman of its Supervisory Board, Dr Friedrich Wehrle, and the member of its Supervisory Board, Prof Michael Nelles, that they will be resigning from their offices from the end of the Annual General Meeting on 15 September 2016. The member of the Supervisory Board Prof Gordian Hasselblatt had already declared on Tuesday, 26 July 2016 that he will also be resigning from office from the end of the Annual General Meeting on 15 September 2016.

"In recent weeks, the Supervisory Board has received the impression that the prerequisites necessary for the proper performance of this mandate are no longer in place," said Chairman of the Supervisory Board Dr Friedrich Wehrle. "In the spirit of good corporate governance we therefore see it as our duty to resign our mandate in a regulated process, and to give the shareholders the opportunity to elect a new Supervisory Board at the forthcoming Annual General Meeting."

Dr Friedrich Wehrle continued: "Bastei Lübbe is and will remain one of Germany's most successful publishing companies. The company's business development is still fully in line with planning. The Management Board is systematically implementing the successful development of the company from being a traditional publishing company to being an international media company, and this strategy has the broad support of the shareholders."

At the proposal of the Supervisory Board, the seats on the Supervisory Board of Bastei Lübbe AG being vacated will be assumed by Mr Robert Stein (Senior Investment Advisor at Rianta Capital Zurich AG and Managing Director of CAPNET), the lawyer Prof Friedrich L. Ekey (Professor of Business Law at Rheinische Fachhochschule Cologne) and Dr Mirko Alexander Caspar (Managing Director of Mister Spex). The Supervisory Board will publish its corresponding nominations in the announcement of the agenda of the Annual General Meeting. The new shareholder representatives are to be voted in until the end of the Annual General Meeting that adopts the resolution on the official approval of the Supervisory Board for the financial year ending on 31 March 2018. It is intended that Mr Stein will become the new Chairman of the Supervisory Board.
